Terms and Conditions
Last updated: October 2026
These Terms & Conditions explain how I work and the terms that apply when you engage Spit & Pixel to provide freelance digital, design or creative services.
Throughout these terms, “I”, “me” and “Spit & Pixel” refer to Spit & Pixel, based in Cornwall, United Kingdom. “You” and “the client” refer to the individual, business or organisation purchasing services from me.
By accepting a quotation, proposal or estimate, paying a deposit, or instructing me to begin work, you agree to these Terms & Conditions.
1. Services
Spit & Pixel provides freelance digital and creative services, which may include:
-
Website design and development
-
Website redesigns and updates
-
E-commerce design and setup
-
SEO and website optimisation
-
Copywriting and content
-
Branding and graphic design
-
Photography and image editing
-
Social media and digital assets
-
Analytics, Search Console and digital platform setup
-
Ongoing website and digital support
The exact services included in your project will be confirmed in writing before work begins, normally through a quotation, proposal, email or agreed project brief.
Anything not included within the agreed scope may be quoted separately.
2. Quotations and project scope
Quotes are based on the information available at the time they are prepared and are normally valid for 30 days unless stated otherwise.
The quote will describe the work included within the project and the agreed price or pricing structure.
If the project changes significantly after work begins, or you request work beyond the original scope, I will let you know before carrying out any substantial additional work.
Additional work may be charged at an agreed hourly rate or quoted separately.
Small adjustments that reasonably form part of the agreed project will not normally be treated as additional work.
3. Deposits and payment
For project-based work, I may require a deposit before work begins. The amount and payment schedule will be confirmed in your quotation or proposal.
Unless otherwise agreed, deposits reserve time in my schedule and allow work on the project to begin. The remaining balance may be invoiced on completion or in agreed stages for larger projects. Invoices should be paid by the due date shown on the invoice.
For ongoing work, retainers or regular digital support, payment terms will be agreed separately.
I reserve the right to pause work where an invoice is substantially overdue.
For business-to-business work, I may also exercise my statutory rights in relation to late commercial payments where applicable.
4. Client responsibilities
Successful projects depend on both of us providing information and feedback promptly.
You agree to provide any content, login details, branding, images, product information, legal information, approvals or other materials reasonably required to complete the work.
You are responsible for checking that information you provide to me is accurate.
You must also ensure that you have permission to use any text, photographs, logos, fonts, graphics, trademarks or other material supplied to me.
Unless we specifically agree otherwise, you remain responsible for the accuracy and legality of your business information, prices, product claims, policies and other factual content published on your website or marketing materials.
5. Timings and project delays
Any project timescale I provide is an estimate unless a fixed deadline has specifically been agreed.
I will make reasonable efforts to complete work within the agreed timescale, but delays can occasionally occur due to circumstances outside my control.
Project timings may also change if:
-
Content or information is supplied late
-
Feedback or approvals are delayed
-
The project scope changes
-
Additional work is requested
-
Third-party services or platforms cause delays
If a project becomes inactive because I am waiting for information, content or feedback from you for an extended period, I may move the project to the next available space in my schedule.
6. Revisions and amendments
I want you to be happy with the finished work and reasonable revisions are a normal part of the design process.
The number or extent of revisions included may be specified within your quotation.
Where no specific revision limit has been stated, revisions should remain reasonable and consistent with the original brief.
A substantial change of direction, repeated redesigns after previously approved stages, or requests outside the agreed scope may result in additional charges.
I will always discuss this with you before charging for additional work.
7. Website projects
Website projects will be designed and built according to the agreed brief and using the platform agreed for the project.
I will make reasonable efforts to ensure websites function correctly on current commonly used browsers and modern mobile and desktop devices at the time of launch.
I cannot guarantee compatibility with every browser, device, operating system or future software update.
Websites may rely on third-party platforms, apps, plugins, themes, payment processors, hosting companies or integrations. Their functionality, pricing and availability are outside my control.
Where appropriate, I may recommend particular platforms or services, but the final decision to use them remains yours.
8. Website hosting, domains and third-party costs
Unless specifically included in my quotation, costs associated with domains, hosting, premium apps, plugins, stock photography, fonts, software subscriptions, payment processors and other third-party services are not included in my fees.
Where possible, I recommend that domains, hosting and important business accounts are registered in your own name so you retain ownership and control of them.
If I purchase something on your behalf, responsibility for ongoing renewals will be explained when the project is handed over.
You are responsible for maintaining any subscriptions or renewals necessary to keep your website and associated services operating after the project is completed unless we have agreed an ongoing maintenance arrangement.
9. E-commerce websites
For e-commerce projects, I can configure products, collections, payment systems, delivery options and other functionality agreed within the project scope.
You remain responsible for ensuring that your business complies with any legal requirements relating to selling your products or services, including pricing, product information, refunds, returns, consumer rights, taxation, delivery and any industry-specific regulations.
Payment processing services are provided by third parties and I cannot be responsible for their availability, security requirements, transaction decisions or changes to their services.
10. SEO and search engine performance
Where SEO services are included, I will follow recognised good practice and make reasonable efforts to improve the ability of search engines to understand and discover your website.
However, search engines are controlled by third parties and their algorithms change regularly.
I therefore cannot guarantee:
-
A particular Google ranking
-
A specific position for a keyword
-
A particular amount of website traffic
-
A specific number of enquiries or sales
-
Continued ranking positions following search engine updates
SEO should be considered an ongoing process rather than a guaranteed result.
11. Analytics and third-party platforms
Where requested, I may assist with services such as Google Analytics, Google Search Console, social platforms, email marketing systems, booking tools and other third-party services.
These services are operated independently of Spit & Pixel.
I am not responsible for outages, account restrictions, platform changes, loss of data or changes to functionality made by third-party providers.
12. Accessibility
I consider accessibility and usability when designing websites and digital content and will use reasonable efforts to follow appropriate good practice within the agreed scope of the project.
Unless a formal accessibility audit or specific compliance service has been commissioned, my work should not be considered a guarantee of compliance with a particular accessibility standard or legal requirement.
Accessibility can also be affected by content or changes added to a website after handover.
13. Intellectual property and copyright
Unless otherwise agreed, ownership of the final bespoke design work created specifically for you will transfer to you once the project has been paid for in full.
Until full payment has been received, the work remains the property of Spit & Pixel.
Third-party assets such as fonts, stock images, plugins, themes, software and licensed graphics remain subject to their original licence terms and are not transferred to you beyond the rights allowed by those licences.
Unless specifically agreed otherwise, preliminary concepts, rejected designs, working files, design processes, templates, development methods and reusable components remain the intellectual property of Spit & Pixel.
Where commercially appropriate, I may reuse general knowledge, techniques, layouts, processes or non-client-specific elements developed during a project.
14. Portfolio use
Unless you ask me not to, I may display completed work in my portfolio, on the Spit & Pixel website, on social media and in other promotional material.
This may include screenshots, photographs, project descriptions and links to publicly available work.
I will not intentionally publish confidential information.
If a project is confidential or subject to a non-disclosure agreement, please tell me before work begins.
15. Client-supplied materials
You confirm that you have the necessary permission, licence or ownership rights for any material you supply for use within a project. This includes photographs, illustrations, logos, trademarks, fonts, video, music, written content and other intellectual property.
Spit & Pixel cannot be held responsible for claims arising from materials supplied by you without the appropriate rights or permissions.
16. Proofreading and final approval
I take reasonable care when preparing websites, graphics and written content. However, you are responsible for checking and approving final work before publication, printing or launch.
This includes checking:
-
Spelling and grammar
-
Contact information
-
Prices
-
Product information
-
Dates and times
-
Links
-
Legal information
-
Business details
Once final approval has been given, changes may be chargeable.
17. Website launch and handover
Before a website goes live, you will normally be given the opportunity to review and approve it. Once approved and any outstanding balance has been paid, the website can be launched or handed over as agreed.
Where appropriate, I may provide guidance on managing the website after launch.
Unless ongoing maintenance or support has been agreed, responsibility for the website passes to you following handover.
18. Ongoing support and maintenance
Website maintenance, updates, SEO, content changes and general digital support after project completion are not automatically included unless stated in your quotation.
You can book additional support as required or arrange ongoing support with me separately.
Ongoing arrangements may be changed or cancelled according to the terms agreed for that particular service.
19. Cancellations and termination
Either party may end a project by providing written notice.
If you cancel a project after work has begun, you will be responsible for paying for work completed up to the cancellation date together with any non-refundable third-party costs already incurred.
Where a deposit has been paid, any refund will depend on the amount of work already completed and any costs already committed.
If the value of work completed exceeds the deposit, I may issue an invoice for the difference.
I reserve the right to terminate a project where there has been serious non-payment, abusive behaviour, unlawful activity or a significant breakdown in the working relationship.
Nothing in these terms affects any statutory cancellation rights you may have as a consumer.
20. Consumer cancellation rights
If you are purchasing services from me as an individual consumer rather than for business purposes, additional consumer protection legislation may apply.
In some circumstances, consumers entering into contracts remotely may have a 14-day cancellation period.
If you specifically ask me to begin work during that cancellation period, you may be required to pay for work completed before you cancel. Where applicable, I will not seek to restrict any statutory consumer rights.
21. Confidentiality
Information you provide in connection with your project will be treated confidentially where it would reasonably be understood to be confidential.
I will not deliberately disclose confidential business information to third parties except where necessary to provide the agreed services, where you have authorised me to do so, or where disclosure is required by law.
22. Data protection and privacy
Personal information will be handled in accordance with applicable UK data protection legislation and my Privacy Policy.
Where I require access to your website, accounts or other systems, login information will only be used for the purpose of carrying out the agreed work.
You should remove or change my access when it is no longer required where appropriate.
23. Backups and data
I take reasonable care when working on existing websites and digital platforms.
However, where I am working on an existing website, you should ensure suitable backups are available before significant work begins.
Unless backup or website management services have specifically been agreed, I cannot accept responsibility for data loss caused by hosting providers, platform failures, third-party software, hacking, malware or circumstances beyond my reasonable control.
24. Limitation of liability
I will provide services with reasonable care and skill.
However, to the fullest extent permitted by law, Spit & Pixel will not be liable for indirect or consequential losses, including loss of profits, sales, business opportunities, data or anticipated savings arising from the use of my services.
I cannot be held responsible for problems caused by third-party platforms, hosting providers, software, plugins, payment processors, search engines or services outside my reasonable control.
Where liability cannot legally be excluded, nothing in these Terms & Conditions is intended to exclude or limit liability where doing so would be unlawful.
Nothing in these terms affects your statutory rights.
25. Force majeure
Neither party will be responsible for delays or failure to perform obligations caused by circumstances reasonably outside their control.
This may include serious illness, natural disasters, widespread internet or utility failures, cyber incidents, industrial action, government restrictions or major failure of third-party services.
If such circumstances substantially affect a project, we will discuss a reasonable revised timetable or alternative arrangement.
26. Changes to these terms
I may update these Terms & Conditions from time to time.
The terms applying to an individual project will normally be those in force when the project is agreed unless we subsequently agree otherwise in writing.
27. Governing law
These Terms & Conditions and any dispute or claim arising from them will be governed by the laws of England and Wales.
Where legally permitted, the courts of England and Wales will have jurisdiction.
